Large global technology company based in metro Atlanta is seeking an attorney to join their dynamic legal team with a focus on the business' retail division which sells hardware, software and services to retailers worldwide. The responsibilities of this position include (1) d raft and review deal documentation, (2) c ollaborate with colleagues (domestically and intern! ationally), as well as company management, to ensure that risks to the company are appropriately identified, assessed and escalated, in an efficient manner throughout the lifecycle of a transaction; (3) Negotiate complex contractual provisions including liability limits, indemnity, warranty, software and other technology licensing, revenue recognition issues, and professional service terms, and develop solutions in deal-breaking situations; (4) c oordinate with internal clients and legal subject matter experts, and with customers, on a number of different types of agreements including: non-disclosure, master solution, enterprise license and software as a service, professional services, and adoption agreements to localize multinational agreements; (5) d evelop a thorough understanding of the Company’s business, strategy, policies and culture; (6) b uild and maintain long-term relationships internally and with customers; (7) e nsure best practices are implemented consistent! ly; (8) d evelop, and serve as a key interface for, contract t! emplates for use by contract managers and business clients; (9) m onitor and advise on regulations and legislation relevant to technology used by the retail industry; (10) e xercise judgment in advising business clients on contract interpretation, and on customer and supplier disputes (pre-litigation); and (11) Provide legal guidance to contract managers on an escalation basis for customer contracts. Candidates must have:
- a minimum of 5 to 8 years of experience advising on technology transactions, preferrably including cross-border transactions,
- Knowledge of commercial contract laws and practices within the technology industry;
- Substantive knowledge of data privacy and data security issues
- must have significant experience negotiating licensor-side commercial software transactions.
- Graduate of a top tier law school
- Stable work history
- Active member in good standing with a state bar, preferrably the State! of Georgia.
