All parties acknowledge that this document does not state or imply that only the duties expressed encompass the total duties of a General Counsel’s responsibility; and that those duties expressed are subject to change with revisions in writing by the owner. Also, that this document does not create an employment contract, implied or otherwise, other that an “at will” employment relationship with Shilo Management Corp (SMC).

ESSENTIAL JOB FUNCTIONS:

1. Act as owner’s personal attorney on many general matters including estate planning, general tax advice! , and real estate transactions. Coordinate with other attorney! s providing legal services to owner personally.

2. Supervise and coordinate purchase, sale, and refinancing of Shilo company assets. Prepare contracts for sale or purchase as needed. Review and negotiate loan documents with lenders.

3. Prepare letters for owner’s signature and/or counsel signature relating to Shilo company business and occasionally to owner’s personal business and political activities.

4. Coordinate and supervise activities of insurance defense counsel, patent and trademark counsel, bankruptcy counsel, franchise counsel, labor law counsel, and other attorneys providing services to the company. Ensure that discovery requests and other information requests from counsel are answered timely.

5. Act as corporate secretary for all company corporate entities. Form and dissolve and maintain various Shilo company entities. Supervise filing of necessary forms for qualifications in all states in which the company operates. Act as registered! agent in Oregon for all Shilo entities, arrange for registered agent representation as needed in all other states where Shilo operates.

6. Work with outside insurance agents to acquire and maintain needed property and casualty insurance, including EPLI coverage, flood insurance, and other special coverages as needed. Prepare presentations of insurance packages for owner’s approval.

7. Keep as current as possible on new developments in legal areas affecting company such as workers compensation, ADA, discrimination, employment law, tort claims commonly made against hotels, Uniform Commercial Code, bankruptcy law, and secured real estate transactions. Provide advice and guidance on various legal matters for staff and direct questions and issues to outside counsel as needed.

8. Supervise preparation and sign liquor license applications and Lottery contracts and renewals for both.

9. Review and approve negotiations for leasing of restaurant facilities ! within Shilo hotels and prepare leases.

10. Review and approve co! ntracts with vendors, and establish and maintain policies for acceptable and unacceptable terms.

11. Prepare and review as possible contracts for contractor services for construction and maintenance of the properties.

12. Non-Competition/Non-Solicitation. In the event employment is terminated for whatever reason, employee agrees not to engage in competition with Shilo either directly or indirectly, in any capacity including employee, owner, investor, shareholder, partner or otherwise in any motel, inn, hotel or other facility offering overnight lodging or restaurant. This non-competitive agreement shall be for a period of five [5] years from the date of termination or resignation of employment with Shilo Inns and shall be applicable for a radius of ten [10] miles from Shilo’s corporate office and/or within ten [10] miles of any Shilo Inn existing as of the date of this Agreement.

13. Confidential Information. Employee shall not divulge to any other perso! n the business or operations of Shilo Inns Suites Hotels, and/or restaurants whether during and/or after employment with Shilo Management Corporation. Without limiting the generality of the foregoing, employee specifically agrees not to provide any future employer, and/or another person or company, any information concerning the occupancy or other operating information about any Shilo properties, and/or a list of Shilo’s customers or Guests, and/or supply, use or employ information from the Operations Manual or other Shilo Management Corporation manuals, policies or procedures.

14. Conflict of Interest. Employee agrees not to participate in any endeavor which poses a conflict of interest and/or poses a question of business ethics with respect to employment. Such conduct includes, but is not limited to, accepting gifts or favors from vendors or contractors; soliciting monies, favors or property from employees for purchase of products or donations not approved or requ! ested by the Shilo Management Corp; participating in any business (whet! her as an owner or otherwise) that directly or indirectly provides goods or services to Shilo Management Corp; or serving in the capacity of an advisor, consultant, board member, partner, officer, major stockholder, or employee of any competitive business within the hospitality industry, including restaurants, deli-marts, gasoline stations and apartment complexes. Employee agrees to declare any such condition to the SMC in writing. Any waiver or acceptance of any conflict of interest or possible conflict of interest by SMC shall be solely within SMC’s discretion on a case-by-case basis.

15. This agreement shall bind and inure to the benefit of the parties hereto and their respective successors and assigns, except as hereinbefore limited. However, neither party may assign their interest in this agreement without the consent of the other party hereto, which consent shall not be unreasonably withheld.

16. Applicant agrees to furnish SMC with all background inform! ation requested for purposes of obtaining bonding by a surety company and auto insurance by insurance underwriters and maintain driver’s license and driving record that permits insurance company approval for operation of company vehicles. Employee agrees to cooperate and to submit to any random drug testing if requested to do so by SMC. Such tests will be at the expense of the SMC and results are to be released to the SMC free of any and all liability incident to the examination and/or testing.

OTHER DUTIES:

  • Travel as necessary by car, commercial and corporate airplane and other normal modes of transportation and stay for extended periods of time as required to perform essential job functions
  • Maintain safe working area and observe safe working habits.
  • Maintain a compatible working relationship with all employees of Shilo Management Corporation, Shilo Inns, Shilo-operated restaurants and other associated operations.
  • Perform other du! ties as instructed by the President/Owner.
  • Maintain a positive ! mental attitude and perform duties working compatibly with company administrative and field representatives and all employees, demonstrating teamwork, loyalty and integrity.
